§ 1 Scope
These General Terms and Conditions (GTC) apply to all business relationships between Formal Mind GmbH (“Formal Mind”) and its customers, unless expressly agreed otherwise in writing. Individual work or project contracts take precedence over these GTC if they contain deviating provisions.
§ 2 Offer and Conclusion of Contract
(1) The customer confirms that they are an entrepreneur within the meaning of § 14 BGB. Upon request, the customer agrees to provide appropriate proof (e.g. copy of business license, chamber membership card, etc.) after placing an order.
(2) A contract is concluded either through an individual work or project contract or—optionally—through an order placed via an online shop operated by Formal Mind. The presentation of products in the online shop does not constitute a legally binding offer but an invitation to place an order.
(3) A contract between Formal Mind and the customer is only concluded when Formal Mind sends an order confirmation to the customer via email.
§ 3 Prices
The agreed prices apply. All prices are net prices plus applicable statutory VAT. Payments are due within 30 days of invoicing without deduction, unless otherwise agreed.
§ 4 Delivery and Services
(1) ReqIF Studio is provided to the customer exclusively as a downloadable executable (object code) with a user-specific license key and the corresponding approved documentation.
(2) Semiant is a cloud-based application. Use requires registration; the license is linked to the user account.
(3) Additional software, reports, or non-standard services are agreed individually with the customer.
(4) Consulting services are generally provided remotely, unless otherwise contractually agreed.
§ 5 Payment Terms
(1) Formal Mind generally delivers against payment by credit card, PayPal, advance payment, or invoice.
(2) Formal Mind issues an invoice for the ordered goods/services, which is sent to the customer by email.
(3) Formal Mind remits statutory VAT in Germany. Customers from other EU countries may request invoice purchases without VAT by providing their VAT ID. They must then account for VAT in their home country. As Formal Mind is required to verify the VAT ID, this may lead to delays.
§ 6 Warranty and Liability
(1) Formal Mind warrants that delivered products substantially comply with the agreed specifications. Liability for defects is governed by statutory provisions. Further claims, in particular for damages, are excluded unless based on intent or gross negligence.
(2) In the case of software licensing, the warranty rights agreed in the license terms apply.
§ 8 Final Provisions
(1) All legal relationships arising from this contractual relationship are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The place of jurisdiction for all disputes is Düsseldorf, provided the customer is a merchant or equivalent, or has its registered office or branch abroad.
(4) If any provision of these GTC is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected.
